Terms of Service

Welcome to Textbook (the "Service"), operated by Textbook Labs LLC ("Textbook," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our messaging-based appointment booking platform.

Specific provisions throughout these Terms indicate whether they apply to Providers, End Users, or both. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Definitions

For purposes of these Terms:

"Provider" means a business, organization, or individual that subscribes to the Service to manage appointment bookings.

"End User" means an individual who books appointments with a Provider through the Service.

"Service" means the Textbook messaging-based appointment booking platform and all related services, features, and functionality provided by Textbook.

"Provider Services" means the actual services, products, or appointments provided by Providers to End Users (as distinguished from the Service provided by Textbook).

"User Content" means all content, data, and information provided by users to the Service, including customer information, booking details, and message content.

2. Acceptance of Terms

Providers: By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

End Users: By responding affirmatively to our Terms notification, completing a booking, or otherwise using the Service to book appointments, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service to book appointments.

3. Eligibility

Providers: You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

End Users: Users under 18 years of age may not create their own accounts on the Platform. However, a parent or legal guardian may use their own account to make bookings or send messages on behalf of a minor. By making a booking or using Platform services for the benefit of a minor, the parent or guardian:

  • Confirms they have the legal authority to act on behalf of the minor;

  • Agrees to be bound by these Terms in connection with all such activity;

  • Accepts full responsibility for all bookings, communications, and other activity conducted on behalf of the minor; and

  • Agrees to supervise the minor's participation in any services booked through the Platform.

Provider-Imposed Age Restrictions: Providers may impose their own age requirements or restrictions for their services. Users are responsible for ensuring that any minor on whose behalf they book services meets the provider's stated age requirements. Providers reserve the right to refuse service to any user who does not meet their specified age restrictions.

4. Account Registration and Security

  • You must provide accurate, current, and complete information during registration and maintain the accuracy of this information.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You agree to notify us immediately of any unauthorized access to or use of your account.

  • We reserve the right to suspend or terminate your account if we suspect any unauthorized or fraudulent activity.

5. Fees and Payment

Providers:

  1. Textbook charges a per-booking fee for use of the Service. Current pricing is available on our website and may be updated from time to time.

  2. All fees are non-refundable except as expressly stated in these Terms or required by law.

  3. You are responsible for paying all applicable taxes associated with your use of the Service.

  4. Textbook does not process customer payments. Any payment processing between you and your customers is your sole responsibility and must be conducted through your own payment processing arrangements.

End Users:

End Users are not charged by Textbook for using the Service. Any payments for Provider Services (including pricing, payment terms, refunds, and disputes) are solely between you and the Provider. Textbook has no responsibility for and makes no representations regarding Provider Services, pricing, quality, or any payment-related matters.

6. Text Messaging Consent and Communications

By using the Service, you consent to receive text messages and other communications from Textbook and from Providers through the Service. This section describes the types of messages you may receive and how to manage your preferences.

Types of Messages:

Transactional Communications: You will receive transactional messages necessary to facilitate your use of the Service, including booking confirmations, appointment reminders, rescheduling notifications, cancellation notices, and other service-related communications. These messages are essential to the Service and cannot be opted out of while using the Service.

Promotional Communications: You may also receive promotional messages from Providers, such as special offers, service updates, and marketing communications. You can opt out of promotional communications while continuing to receive transactional messages.

Message Frequency and Charges:

Message frequency varies based on your booking activity and interactions with Providers. Standard message and data rates may apply as determined by your mobile carrier. You are responsible for all charges associated with text messaging as determined by your mobile service provider.

Opt-Out and Management

  1. To opt out of promotional communications from a specific Provider, you may use the unsubscribe option provided in messages or contact the Provider directly.

  2. You acknowledge that opting out of all communications from the Service will prevent you from receiving important transactional messages and may impact your ability to manage bookings.

Consent Acknowledgment

By using the Service, you expressly consent to receive automated text messages and acknowledge that consent is not required as a condition of purchasing any goods or services, except as necessary to use this particular Service.

7. Acceptable Use and Prohibited Conduct

Acceptable Use:

All users agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  1. Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.

  2. Transmit or facilitate the transmission of spam, unsolicited messages, or communications that violate applicable consumer protection, anti-spam, or telecommunications laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or similar laws in other jurisdictions.

  3. Use the Service to engage in or promote illegal activities, fraud, harassment, or abusive behavior.

  4. Provide false, inaccurate, or misleading information when booking appointments or using the Service.

  5. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or related systems.

  6. Reverse engineer, decompile, or attempt to extract the source code of the Service.

  7. Use automated systems, bots, or scrapers to access the Service without our express written permission.

End Users specifically agree not to:

  • Make fraudulent bookings or bookings with no intention of honoring the appointment.

  • Harass, threaten, or abuse Providers or their staff through the messaging system.

  • Abuse the messaging system by sending excessive or inappropriate messages.

Prohibited Conduct:

In addition to the restrictions set forth elsewhere in these Terms, you agree that you will not:

  1. Submit or execute prompts, code, or instructions intended to manipulate, override, or extract system behavior, data, or model parameters (including "prompt injection" or "adversarial prompts");

  2. Attempt to probe, scan, or test the vulnerability of the Platform or any connected systems without written authorization from Textbook;

  3. Deploy automated systems (including bots, scrapers, or agents) that interact with the Platform in ways that simulate, interfere with, or overload normal user activity;

  4. Use any data obtained from the Platform to build, train, or enhance a competing product or model;

  5. Interfere with or attempt to bypass security, rate-limiting, or moderation controls; or

  6. Access or attempt to access non-public APIs, endpoints, or administrative interfaces.

Violation of these restrictions may result in immediate suspension or termination of your account and may subject you to legal liability.

8. Service Availability and Modifications

  • We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors.

  • We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

  • We may perform scheduled maintenance that temporarily makes the Service unavailable, and we will make reasonable efforts to notify you in advance of such maintenance.

9. User Content and Data

Providers:

  1. You retain ownership of the content and data you provide to the Service, including customer information, booking details, and message content ("User Content"), but grant Textbook the rights described below.

  2. By using the Service, you grant Textbook a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, store, process, reproduce, modify, adapt, publish, transmit, display, and distribute User Content to provide and improve the Service, conduct analytics and research, develop new products and services, create anonymized and aggregated data products, and for other legitimate business purposes.

  3. You represent and warrant that you have all necessary rights, licenses, and permissions to provide User Content to the Service and that User Content does not violate any third-party rights or applicable laws.

  4. You are responsible for obtaining any required consents from your customers for collection and processing of their personal information through the Service, except as otherwise provided in these Terms, including compliance with applicable privacy laws and regulations.

End Users:

  1. By providing information to Textbook, you grant both Textbook and the applicable Provider permission to use, store, and process this information to facilitate your booking, provide and improve the Service, conduct analytics and research, develop new products and services, and for other legitimate business purposes as described in our Privacy Policy.

  2. You acknowledge that your information will be shared with the Provider with whom you are booking an appointment, and that such Provider's use of your information is governed by their own privacy policy and terms.

  3. You represent and warrant that: (a) you are at least 18 years old; (b) you have the authority to provide all information you submit through the Service; and (c) such information is accurate and complete.

  4. You consent to Textbook processing your personal data as described in our Privacy Policy, including for purposes of facilitating bookings, improving the Service, conducting analytics and research, developing new products and services, and for other legitimate business purposes.

10. Privacy and Data Protection

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

Providers: You acknowledge that Textbook acts as both a data controller (for its own business purposes) and a data processor (when processing End User data on your behalf). You are responsible for complying with all applicable data protection laws in your collection and use of End User data.

End Users: You are bound by both Textbook's Privacy Policy and the privacy policy of any Provider with whom you book appointments. Your personal information will be processed by both Textbook (to facilitate the booking and for other purposes described in our Privacy Policy) and the Provider (to provide their Provider Services). If you do not agree to these privacy policies, you must not use the Service.

11. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement) are owned by Textbook, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Service, except as incidental to normal use of the Service or as expressly permitted in these Terms.

12. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Textbook does not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. Textbook makes no warranty regarding the accuracy, reliability, or completeness of any booking confirmations, scheduling, or communications facilitated through the Service. You acknowledge that bookings may be missed, incorrectly scheduled, or otherwise fail, and Textbook shall have no liability for any such errors or failures.

END USERS SPECIFICALLY ACKNOWLEDGE: TEXTBOOK IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, TIMELINESS, OR DELIVERY OF PROVIDER SERVICES. PROVIDERS ARE SOLELY RESPONSIBLE FOR THEIR PROVIDER SERVICES, AND ANY DISPUTES REGARDING SERVICE QUALITY, NO-SHOWS, CANCELLATIONS, OR OTHER SERVICE ISSUES MUST BE RESOLVED DIRECTLY WITH THE PROVIDER.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEXTBOOK LABS LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING (WITHOUT LIMITATION) LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE;

  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE;

  • MISSED, FAILED, OR INCORRECTLY SCHEDULED APPOINTMENTS;

  • THE QUALITY, SAFETY, DELIVERY, OR ANY OTHER FEATURE OF PROVIDER SERVICES;

  • ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

Providers: IN NO EVENT SHALL TEXTBOOK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO TEXTBOOK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

End Users: IN NO EVENT SHALL TEXTBOOK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED ONE HUNDRED DOLLARS ($100).

14. Indemnification

General: You agree to defend, indemnify, and hold harmless Textbook Labs LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including, without limitation, reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or applicable laws;

  • Your use of the Service;

  • Your User Content or information you provide;

  • Your violation of any rights of a third party;

  • Fraudulent bookings, harassment, or abuse through the messaging system;

  • Disputes with Providers or End Users (as applicable).

Providers: You additionally agree to defend, indemnify, and hold harmless Textbook for any claims arising from Provider Services you provide to End Users, your processing of End User data, or any disputes between you and End Users regarding Provider Services.

Defense and Settlement Rights:

Textbook reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Textbook in asserting any available defenses.

You may not settle any claim subject to this indemnification provision without Textbook's prior written consent.

15. Relationship of Parties

Textbook is a technology service provider only. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between Textbook and Providers or between Textbook and End Users. The relationship between Providers and End Users (including the provision of Provider Services, pricing, quality, and all other aspects) is independent of Textbook. Providers are solely responsible for their Provider Services and interactions with End Users.

16. Term and Termination

Providers:

  • These Terms commence on the date you first access or use the Service and continue until terminated by either party.

  • You may terminate your account at any time by providing written notice to us at support@textbook.me or through any account cancellation feature available on the Service.

  • Textbook may immediately suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to: (a) breach of these Terms; (b) conduct that we believe may harm Textbook, other users, or third parties; (c) violation of applicable laws; (d) extended periods of inactivity; or (e) if we determine, in our sole discretion, that continuing to provide the Service to you is inadvisable or undesirable.

  • Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though certain information may be retained as required by law or for legitimate business purposes.

End Users:

Textbook may terminate or suspend your ability to use the Service at any time, for any reason or no reason, in Textbook's sole discretion, including but not limited to violation of these Terms, fraudulent bookings, abusive behavior, or other prohibited conduct. You may stop using the Service at any time, though you remain responsible for any bookings made prior to discontinuing use.

17. Right to Refuse Service

Textbook reserves the right, in its sole discretion, to refuse service to any business or individual for any reason or no reason, including but not limited to concerns about legal compliance, brand reputation, service compatibility, or business practices. We may decline to onboard new customers or terminate existing relationships at any time, for any reason or for no reason at all, without liability.

18. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, websites, or applications (such as calendar systems, messaging platforms, or payment processors). Textbook is not responsible for and does not endorse or assume any liability for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

19. Dispute Resolution and Arbitration

IMPORTANT: This section contains an arbitration clause and class action waiver. It affects your legal rights. Please read it carefully.

Informal Resolution

Before filing a claim against Textbook, you agree to contact us at legal@textbook.me to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days of submission, you or Textbook may bring a formal proceeding.

Arbitration Agreement

You and Textbook agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Service (collectively, "Disputes") will be resolved by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Arbitration Rules

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by these Terms. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

Arbitration Location and Costs

The arbitration will be conducted in Delaware unless you and Textbook agree otherwise. Each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA Rules.

Class Action Waiver

YOU AND TEXTBOOK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Textbook agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Time Limitation

Any claim or dispute must be filed within one (1) year after the claim or cause of action arises or be forever barred.

End User Disputes with Providers

Disputes between End Users and Providers regarding service quality, appointments, pricing, or any other aspect of Provider Services must be resolved directly between the End User and the Provider. Textbook is not a party to such disputes and has no obligation to mediate or resolve them.

20. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Textbook agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Effective Date" at the top of these Terms. For Providers, we may also notify you via email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

22. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Textbook regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Textbook's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without Textbook's prior written consent. Textbook may assign these Terms at any time without notice to you.

Force Majeure. Textbook shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Survival. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.
